These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Player", "You") and okolay ("Company", "We", "Us", "Our") governing your access to and use of the okolay gaming platform, website, and related services (collectively, the "Service"). 3. User Conduct and Prohibited Activities

• Harass, abuse, threaten, or intimidate other users or okolay staff;
• Use the Service to engage in or promote gambling by persons under the legal gambling age;

• Create accounts using false identities or information, or on behalf of others without authorization.

4. Financial Transactions

4.1 Deposits

To participate in real money gaming on okolay, you must deposit funds into your account using one of the approved payment methods, including but not limited to GCash, PayMaya, bank transfers through BPI, BDO, Metrobank, UnionBank, and credit or debit cards. All deposits are denominated in Philippine Peso (PHP) unless otherwise specified.

You represent and warrant that all funds deposited to your okolay account are derived from legitimate sources and that you have the legal right to use such funds for gaming purposes. okolay reserves the right to request documentation verifying the source of deposited funds and may freeze accounts or refuse deposits if we suspect money laundering or other illegal activity.

4.2 Withdrawals

You may request withdrawal of funds from your okolay account balance at any time, subject to verification of your identity and compliance with any applicable bonus terms or wagering requirements. In no event shall okolay's total liability to you for all claims relating to the Service exceed the amount you have paid to okolay in the twelve (12) months preceding the claim, or one hundred Philippine Pesos (PHP 100), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless okolay, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of any rights of another party; or (iv) any fraudulent or illegal activity conducted through your account.

12. Termination

12.1 Termination by okolay

okolay reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, failure to provide requested documentation, prolonged inactivity, or any conduct that okolay deems harmful to the Service or other users.

12.2 Effect of Termination

Upon termination of your account, your right to access and use the Service immediately ceases. okolay will, subject to applicable law and the terms of any ongoing investigations, return any remaining account balance to you using your preferred payment method. However, okolay reserves the right to withhold funds if there is reasonable suspicion of fraud, violation of Terms, or other illegal activity.

13. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through good faith negotiation between the parties. If such negotiations fail to resolve the dispute within thirty (30) days, the dispute shall be submitted to binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc.

14. General Provisions

14.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

14.2 Waiver

No waiver by okolay of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by okolay to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14.3 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by okolay on the Service, constitute the entire agreement between you and okolay concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and okolay.

14.4 Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder, in whole or in part, without okolay's prior written consent. okolay may assign or transfer these Terms or any rights or obligations hereunder, at its sole discretion, without restriction and without notice to you.
